About these Terms and who we are

Pretium Lens is a service of Pretium Search Ltd, a company registered in England and Wales. Our registered address is 45 Pall Mall, London SW1Y 5JG.

These Terms form a legally binding agreement between you and Pretium. They apply alongside our Privacy Policy, which explains how we handle personal data.

We may provide specific services under separate written agreements. Where a signed engagement agreement conflicts with these Terms, the engagement agreement takes precedence for that engagement.

The service

• Pretium Lens is a private, invitation-based platform that supports Pretium's executive search, advisory, and alliance-brokerage work. It comprises this marketing website and an authenticated client portal.
• Through the Platform we may provide pricing and commercial readiness assessments, talent and partner matching, diagnostic outputs, and related advisory deliverables.
• Access to the client portal is granted by invitation or approval at our discretion. The Platform is intended for business use by professional clients and is not a consumer or self-service product.
• We may change, suspend, or withdraw any part of the Platform at any time.

Eligibility and accounts

• You must be at least 18 years old and authorised to act on behalf of the organisation you represent.
• You are responsible for keeping your account credentials secure and for all activity under your account. Notify us promptly at hello@pretiumlens.com if you suspect unauthorised use.
• Accounts are personal to the named user and must not be shared.

Acceptable use

You agree not to:

• use the Platform unlawfully or in breach of these Terms;
• attempt to gain unauthorised access to any part of the Platform or its underlying systems;
• scrape, harvest, or copy content except as expressly permitted;
• introduce malware or otherwise interfere with the Platform's operation;
• reverse engineer or attempt to extract source code; or
• upload content that is unlawful, infringing, or that you do not have the right to share.

You are responsible for the accuracy of the information you submit.

Client content and submissions

• You retain ownership of the content you submit to the Platform, including briefs, documents, CVs, and other materials ("Client Content").
• You grant Pretium a non-exclusive, worldwide licence to host, process, and use Client Content as needed to provide the Platform and our services to you.
• You warrant that you have the right to share Client Content with us, including any third-party personal data such as candidate information, and that doing so does not breach any law or obligation you owe to others.

AI-generated outputs

• Some Platform features use artificial intelligence to generate assessments, matches, diagnostics, and reports ("Outputs").
• Outputs are provided for information only and to support your own judgement. They are not professional, legal, financial, tax, or investment advice, and they may contain errors or omissions.
• You should independently verify Outputs before relying on them. Pretium is not liable for decisions you make based on Outputs.

Intellectual property

• The Platform, including its software, design, branding, content, and underlying methodology, is owned by or licensed to Pretium and is protected by intellectual property laws.
• We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes. You may not copy, resell, sublicense, or commercially exploit any part of the Platform.

Confidentiality

• Each party may receive confidential information from the other. Each party agrees to keep the other's confidential information secret, to use it only to fulfil its obligations or exercise its rights under these Terms, and to protect it with reasonable care.
• This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.

Fees

Advisory and search engagements are provided under separate written agreements that set out the applicable fees. The Platform itself does not process payments in this version.

Disclaimers

• The Platform is provided "as is" and "as available". To the extent permitted by law, we exclude all warranties, conditions, and representations not expressly set out in these Terms.
• We do not warrant that the Platform will be uninterrupted or error-free, or that any particular result, placement, match, or commercial outcome will be achieved.

Limitation of liability

• Nothing in these Terms limits or excludes our liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, or for fraud.
• Subject to the above, we are not liable for any loss of profit, loss of business, loss of goodwill, or any indirect or consequential loss arising from your use of the Platform.
• Subject to the above, our total liability arising out of or in connection with the Platform is limited to the fees you paid to us, if any, for the relevant service in the 12 months before the event giving rise to the claim.

Third parties and alliance partners

• The Platform may reference or connect you with independent specialist firms and experts within the Pretium Alliances network. These partners are independent of Pretium, and we are not responsible for their services, advice, or conduct. Any engagement you enter into with a partner is between you and that partner.
• The Platform may contain links to third-party websites that we do not control.

Suspension and termination

• We may suspend or terminate your access to the Platform at any time, including if you breach these Terms or if we discontinue the Platform.
• You may stop using the Platform at any time. Provisions that by their nature should survive termination, including intellectual property, confidentiality, disclaimers, and limitation of liability, will continue to apply.

Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on the Platform with a revised "last updated" date. Your continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

Governing law and jurisdiction

These Terms, and any dispute arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
